1. Acceptance of Terms
By accessing, downloading, installing, or using OptiAI ("the Service," "Application," or "App"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms," "Agreement"). If you do not agree to these Terms, you must immediately discontinue use of the Service.
These Terms constitute a legally binding agreement between you and Aspire Digital LLC ("Aspire Digital," "Company," "we," "us," or "our"). By using the Service, you represent that you have the legal capacity to enter into this Agreement.
2. Eligibility and Age Requirements
You must be at least 13 years of age to use this Service. If you are located in the European Economic Area (EEA), you must be at least 16 years of age. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
We reserve the right to request proof of age at any time. If we become aware that a User does not meet the minimum age requirements, we will terminate their account immediately without notice.
The collection and management of children's data by parent or guardian users is governed by Section 9 (Children's Data and Parental Consent) below.
3. Limited License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes. This license does not include:
- Any resale, commercial use, or distribution of the Service or its content
- Modification, adaptation, translation, reverse engineering, decompilation, disassembly, or creation of derivative works
- Removal, alteration, or obscuring of any copyright, trademark, or other proprietary notices
- Use of any data mining, robots, scraping, or similar data gathering methods
- Downloading, copying, or transmitting any content for commercial purposes
- Framing or mirroring any part of the Service without prior written consent
4. User Account and Security
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept full responsibility for all activities occurring under your account
- Notify us immediately of any unauthorized access or security breach
- Not share your account credentials with any third party
- Not create multiple accounts for the purpose of abusing promotions or rewards
You are solely responsible for any activity that occurs through your account. We will not be liable for any loss or damage arising from your failure to maintain account security.
You may create or access your account using social sign-in through Apple ("Sign in with Apple") or Google ("Google Sign-In"). When you do, you authorize the provider to share basic profile information (such as your name and email address) with us to create and secure your account, as described in the Privacy Policy. Your use of social sign-in is also subject to the terms of the relevant provider.
Passwords must be at least 10 characters and must not be one that is known to have appeared in a public data breach. On the mobile app we may require Face ID, fingerprint, or device passcode to open the app; that check is performed by your device, and we never receive your biometric data. If repeated unlock attempts fail, we may sign you out for your protection.
5. OptiPoints Rewards Program Disclaimer
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.
OptiPoints ("Points") are a virtual rewards program feature within the Service. By participating in the OptiPoints program, you acknowledge and agree that:
- No Monetary Value: OptiPoints have NO monetary value, cannot be exchanged for cash, and are not redeemable for any form of currency, cryptocurrency, or legal tender
- No Property Rights: You do not own OptiPoints. Points are a license to access certain features or benefits, not property
- Modification Rights: We reserve the absolute right to modify, limit, suspend, or terminate the OptiPoints program, adjust Point values, change earning rates, or expire Points at any time without prior notice or liability
- No Refunds: Points are non-refundable and cannot be transferred, sold, or bartered
- Earning Points in Money: The Service's Money features award Points for genuine, server-verified activity: adding your first account, setting your first spending envelope, logging your first transaction, importing a receipt or bank statement (at most once per day, however many transactions the import contains), and finishing a calendar month in which every envelope carrying a limit was measured and ended at or under it. Individually logged transactions may also earn a small consistency bonus, subject to the same daily earning cap as every other source. A "first" award is reversed if you later delete the last account, envelope, or transaction it was awarded for, and may be earned again if you add another. Award amounts are set by us, are shown in the app, and are subject to our Modification Rights above
- Redemption for In-App Benefits: Points may be redeemed for in-app benefits such as additional AI actions, and for in-game items and features within Family Games (for example hints, extra turn time, or cosmetic themes). Availability and redemption rates are subject to our Modification Rights above, and redemption confers no cash or monetary value
- In-Game Spends Are Final: Points spent on in-game items or features are consumed immediately and are non-refundable and non-reversible, including where a match, turn, or session later ends, is cancelled, expires, or does not go the way you hoped
- Purchased Points: You may purchase Points in fixed bundles from within the Service. Purchases are available to any adult account — no subscription is required — but are not available to household members recorded as children, who should ask a parent or guardian to purchase on their behalf. Purchased Points are sold as a one-time consumable, are non-refundable except where required by law or by the applicable app store's refund policy (Apple App Store or Google Play, where the purchase was made through them), carry no monetary value, and cannot be exchanged for cash, transferred, or resold. If a purchase of Points is refunded or charged back, the Points from that purchase are removed from your balance, including Points already used, up to your available balance. Purchased Points EXPIRE one year after purchase; any unspent balance from that purchase is forfeited at that point. When you spend Points, purchased Points are used first (soonest-expiring first), then earned Points. You may also buy Points from a chat app you have connected to OptiAI (WhatsApp, Telegram, Facebook Messenger or Instagram): Opti replies with a secure Stripe checkout link for the bundle you choose, which expires after 30 minutes. The payment is processed by Stripe, not by the chat app, and the same rules apply as to a purchase in the Service, including that children cannot buy
- Expiration: Points may expire if your account is inactive for 12 consecutive months. Purchased Points additionally expire one year after purchase, as described above
- Companion Outfits: Optional outfits for Opti Companions can be unlocked with Points. Outfits have no monetary value, cannot be exchanged for cash, are non-refundable once unlocked, and are bound to the account that unlocks them (they cannot be transferred or resold). A child may spend their own Points on outfits, and a parent or guardian may gift an outfit to a child they manage using the parent's own Points. Prices may change at any time and some outfits are free
- Revocation and Forfeiture: We may revoke Points obtained through fraud, abuse, technical errors, or violation of these Terms. In addition, where we detect or reasonably suspect fraud, abuse, or manipulation of the OptiPoints system (including, without limitation, multi-account, automated, or coordinated abuse), we reserve the right, in our sole discretion, to forfeit and zero out your entire Points balance — whether or not those Points were obtained through the abuse — with or without terminating your account, and without notice, refund, or compensation
- Program Termination: Upon termination of the OptiPoints program, all accumulated Points will be forfeited without compensation
Any future conversion of OptiPoints to tokens or other digital assets is not guaranteed and will be subject to additional terms, regulatory requirements, and our sole discretion.
6. Subscription Plans, Billing, and Refunds
We offer subscription-based access to premium features through various plans ("Subscription Plans"). By purchasing a Subscription Plan, you agree to the following:
Free Tier ("Full Access")
We offer a free tier called "Full Access" that is available indefinitely at no cost. It includes the entire Service — every module and feature — with no household member limit. The only thing metered is use of our AI assistant ("Ask Opti"): the free tier includes a limited number of AI actions per day (the current allowance is shown in the app), and you can earn OptiPoints through everyday use of the Service and redeem them for additional AI actions (see Section 5). A paid subscription provides more use of the AI assistant, subject to a fair-use daily cap and a rolling burst limit that may briefly pause AI responses if you send many requests in a short period; the current values are disclosed in the app and may change. We reserve the right to modify the free tier, the daily AI allowance, the fair-use cap, and the burst limit at our discretion.
Billing Providers and Auto-Renewal
A paid subscription is optional — the free tier ("Full Access") above is available indefinitely at no cost. If you choose to subscribe, billing begins immediately when you subscribe; we do not offer a trial. Subscription Plans are billed on a recurring basis (monthly or annually, depending on your selection). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Depending on where you subscribe:
- Web (browser): Stripe, Inc. is our payment processor. By subscribing, you authorize us and Stripe to charge your designated payment method on a recurring basis.
- iOS (App Store): Apple Inc. processes the purchase via In-App Purchase (StoreKit). Apple is the merchant of record. Billing, renewal, payment methods, and refunds are managed by Apple under your Apple ID. Apple charges, refund eligibility, and tax behavior are governed by the Apple Media Services Terms and Conditions.
- Android (Google Play): Google LLC processes the purchase through Google Play Billing. Billing, renewal, payment methods, and refunds are managed by Google under your Google account and the Google Play Terms of Service, and you cancel through Google Play's subscription management.
Prices shown on iOS may differ from web prices to reflect Apple's commission and regional pricing tiers. Switching between providers is not supported within a single billing period — if you subscribed through one provider, manage that subscription through that same provider.
Plan Changes and Proration
You may upgrade, downgrade, or switch your Subscription Plan at any time through the Service. When changing plans on Stripe, charges will be prorated for the remainder of the current billing period. On Apple, plan upgrades take effect immediately (with Apple applying its standard credit handling), and downgrades take effect at the end of the current billing period in accordance with Apple's subscription group ranking rules. Add-on modifications take effect immediately on Stripe and are prorated accordingly.
Cancellation
You may cancel your subscription at any time. For web (Stripe) subscriptions, use your account settings or the billing portal. For iOS subscriptions, manage and cancel through Apple's Subscription Management screen (Settings → [your name] → Subscriptions) — we cannot cancel an Apple subscription on your behalf. Upon cancellation, you will retain access to premium features until the end of your current billing period.
Refunds
For web (Stripe) subscriptions, all fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at support@optiai.me within 14 days of the charge. For iOS subscriptions, refund requests are handled exclusively by Apple under the Apple Media Services Terms and Conditions — request a refund through reportaproblem.apple.com. We do not control whether Apple grants a refund. For Android subscriptions purchased through Google Play, refunds are handled by Google under the Google Play refund policy, and we do not control whether Google grants a refund.
Failed Payments
If a payment fails, we may restrict access to premium features until the payment issue is resolved. We will attempt to notify you of any payment failures. Continued failure to resolve payment issues may result in cancellation of your subscription.
Price Changes
We reserve the right to change subscription pricing at any time. Price changes will take effect at the start of your next billing period following notice. We will provide reasonable advance notice of any price increases via email or through the Service. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.
7. Artificial Intelligence Services Disclaimer
CRITICAL DISCLAIMER - READ CAREFULLY:
The Service incorporates artificial intelligence ("AI") features including, but not limited to, workout recommendations, meal suggestions, financial insights, and general assistance. By using these AI features, you expressly acknowledge and agree:
- Informational Only: All AI-generated content, recommendations, and suggestions are for informational and educational purposes ONLY
- Not Professional Advice: AI outputs do NOT constitute medical, financial, legal, fitness, nutritional, or any other professional advice
- Consult Professionals: You should ALWAYS consult qualified healthcare providers, financial advisors, or other licensed professionals before making decisions based on AI recommendations
- Accuracy Not Guaranteed: AI may produce inaccurate, incomplete, outdated, or inappropriate information. We make NO representations or warranties regarding the accuracy, reliability, or completeness of AI-generated content
- May Be Wrong — Verify Time-Sensitive Information: AI outputs can be wrong. When the AI answers questions about current or fast-changing information (such as business hours, availability, prices, events, or news), you should independently verify that information from an authoritative source before relying on it
- User Assumption of Risk: You assume ALL risk associated with acting upon AI recommendations. We are NOT liable for any decisions you make based on AI suggestions
- Health Risks: Following AI fitness or nutrition recommendations without professional guidance may result in injury, illness, or adverse health effects. We bear NO responsibility for such outcomes
- Financial Risks: AI financial suggestions are NOT investment advice. Financial decisions based on AI recommendations are made at YOUR OWN RISK
YOU EXPRESSLY WAIVE ANY CLAIMS AGAINST US ARISING FROM YOUR USE OF OR RELIANCE ON AI-GENERATED CONTENT.
These disclaimers are also presented in-app through domain-level disclaimer dialogs when you first access AI-powered features in each module (Health, Nutrition & Food, Childcare, and Financial).
Live Information and Web Search
To answer questions that depend on current information (for example, opening hours or upcoming events), the AI assistant ("Ask Opti") may perform a live web search through our AI provider (Google). To do this, a search query derived from your message is sent to Google's search service, and the AI may summarize the results and cite its sources. Information returned from the web is provided by third parties, may be inaccurate or out of date, and does not constitute an endorsement by us. We do not use your strictly private health information (such as cycle, pregnancy, mood, or mindfulness data) to form web-search queries. See the Privacy Policy for how this is handled.
Attachments and Files
When you upload files (images, PDFs, photos) to chat with our AI assistant ("Ask Opti") or to other AI-powered features, the file is stored in our secure storage and a reference to that file is provided to Google Gemini for parsing or analysis. Uploaded documents may include sensitive financial, health, identity, and travel records — for example bank, credit-card, loan, and investment statements, insurance policies, property and vehicle titles, medical history, prescriptions, and lab reports. By uploading such a document you consent to its contents being sent to Google Gemini for processing as described in the Privacy Policy. You represent that you own or are otherwise entitled to share any file you upload, that uploading it does not violate any third party's rights, and that the file does not contain content that you are legally prohibited from sharing.
Voice Dictation
Voice dictation features rely on the speech-recognition service built into your device or browser. On the web this is the Web Speech API; on iOS native apps it is Apple's speech-recognition framework (on-device or Siri). The recognition happens on your device or via your browser/OS vendor's service — we do not receive or store raw audio. Only the resulting text transcript reaches our servers when you submit it. Some browsers or operating systems may transmit audio to the vendor's servers for recognition; please consult your browser/OS documentation for details.
8. Health and Fitness Disclaimer
The Service provides health tracking, fitness planning, and wellness features. These features are designed for general wellness and informational purposes only. By using these features, you acknowledge:
- The Service is NOT a medical device and is NOT intended to diagnose, treat, cure, or prevent any disease or health condition
- You should consult a physician before beginning any exercise, diet, or wellness program
- We are NOT responsible for any injury, health issue, or adverse effect resulting from use of health and fitness features
- Health data tracking is for personal reference only and should not replace professional medical monitoring
- Integration with third-party health platforms (Apple Health and Google Health Connect) is optional, read-only, and provided as-is without warranty
- Data imported from third-party health platforms or looked up from third-party food databases (such as Open Food Facts) may be inaccurate, incomplete, or outdated; you are responsible for verifying the accuracy of any imported or looked-up data before relying on it
These disclaimers are also presented in-app through domain-level disclaimer dialogs when you first access each module.
8A. Cycle & Pregnancy Features
IMPORTANT DISCLAIMER: READ CAREFULLY.
The Service may include a Cycle & Pregnancy module for tracking menstrual cycles, fertility and trying-to-conceive (TTC) information, pregnancy details, pregnancy loss or termination, perimenopause and menopause, and related mood. By using these features, you acknowledge and agree:
- Informational only — not medical advice: All content in the Cycle & Pregnancy module, including cycle predictions, fertility estimates, pregnancy milestone guidance, and any AI-generated suggestions, is for personal tracking and general informational purposes ONLY. It does NOT constitute medical advice, clinical diagnosis, or treatment guidance.
- Consult a qualified professional: You should ALWAYS consult a qualified healthcare provider (such as an OB-GYN, midwife, or fertility specialist) before making any decisions about contraception, conception, pregnancy care, or reproductive health. Do not rely on the Service as a substitute for professional medical advice.
- Emergency disclaimer: The Service is NOT designed for emergency use. If you are experiencing a medical emergency, pregnancy complication, or mental health crisis, call your local emergency services (e.g., 911 in the US) or go to the nearest emergency room immediately.
- AI-generated content may be inaccurate: Cycle predictions, fertility window estimates, baby-name suggestions, personalized insights, and other AI-generated outputs may be inaccurate, incomplete, or not applicable to your individual circumstances. Biological cycles vary widely between individuals. We make NO representations or warranties regarding the accuracy, reliability, or clinical validity of AI-generated content in this module.
- Assumption of risk: You assume all risk associated with acting upon any information or suggestion from this module. We are NOT liable for any outcomes, decisions, or actions taken on the basis of content provided here.
- Sensitive data: Reproductive health data is a special category of sensitive personal data. See the Privacy Policy (Section 8a) for how this data is stored, protected, and shared.
These disclaimers are also presented in-app through a domain-level disclaimer dialog when you first access the Cycle & Pregnancy module.
9. Children's Data and Parental Consent
The Service includes child care features that allow parents and legal guardians to enter, store, and manage information about their children. By using these features, you acknowledge and agree to the following:
Data Collection by Parents
We do not knowingly collect personal information directly from children under the age of 13 (or under 16 in the EEA). All children's data within the Service is entered and managed by parent or legal guardian users on behalf of their children. Data types may include child profiles, vaccination records, growth measurements, developmental milestones, health records, and educational information.
Parental Responsibility
As a parent or legal guardian using the child care features, you represent and warrant that:
- You have the legal authority to provide and manage your child's information
- All information you enter about your child is accurate and provided with proper consent
- You assume full responsibility for the accuracy, appropriateness, and management of your child's data
- If you share access to your child's data with other household members, you consent to their viewing of that information
How Children's Data Is Used
Children's data is used solely to provide the child care features of the Service, including tracking vaccinations, growth, milestones, and health records. We do not use children's data for advertising, marketing, or profiling purposes. Children's data is not sold to or shared with third parties except as necessary to operate the Service (e.g., cloud infrastructure providers) or as required by law.
Parental Rights
You may review, modify, or delete your child's data at any time through the Service. If you wish to request complete deletion of all children's data associated with your account, please contact us at support@optiai.me. We will process such requests in accordance with applicable law.
Compliance
We are committed to complying with the Children's Online Privacy Protection Act (COPPA), the General Data Protection Regulation (GDPR) as it relates to children's data, and other applicable children's privacy laws. If we become aware that children's data has been collected without proper parental consent, we will take steps to delete such information promptly.
10. Household Features and Shared Data
The Service includes household features that allow multiple users to share data and collaborate within a shared household. By using these features, you acknowledge and agree to the following:
Household Ownership and Membership
Household owners may invite other users to join their household. Owners are responsible for managing household membership, including inviting and removing members. Members may participate in one or more households and may leave a household at any time.
Shared Data Visibility
Data shared within a household is visible to all household members with appropriate permissions. This may include grocery lists, meal plans, tasks, health data (when sharing is enabled), childcare data, and other information you choose to share. You are responsible for reviewing and understanding what data is shared before enabling household sharing features.
Data Ownership
Each user retains ownership of the data they contribute to a household. Shared views of data are provided as a convenience and do not transfer ownership. When you share data with household members, you grant them a limited, revocable right to view and interact with that data within the Service.
Leaving or Removing Members
When a member leaves or is removed from a household, their access to shared household data ceases immediately. Data contributed by the departing member may remain visible to other household members. The departing member retains their own personal data and account.
Consent and Responsibility
By sharing data within a household, you consent to other household members viewing that information. If you enter information about another person (such as a family member's health data), you represent that you have obtained their consent to do so. We are not liable for disputes between household members regarding shared data, access permissions, or household management decisions.
Family Nicknames
You may add nicknames for family members so that Opti understands who you mean (for example, when you ask about "AJ"). Nicknames are stored with your household, can be edited or removed at any time, and are covered by the same household sharing settings as the rest of your household data.
Subscription and Seat Access
Every household member already has full access to all modules and features on the free tier. Household members may additionally receive the higher, paid-tier daily AI-assistant allowance through the household owner's subscription plan via allocated seats. Such access is dependent on the owner maintaining an active subscription and is subject to the terms of the applicable Subscription Plan. The owner may revoke seat access at any time, which returns that member to the free tier's AI allowance.
10A. Pet Care Features
The Service includes a pet care module that lets you record pet profiles, vaccinations, weight, feeding and activity logs, health events, and milestones. By using these features:
- You represent that you have the right to record this information for the pet(s) in question
- You understand that pet care features are for personal tracking and are NOT a substitute for veterinary advice. Always consult a licensed veterinarian for diagnosis, treatment, and medication.
- Information about a deceased pet ("Rainbow Bridge") may be retained at your discretion as a memorial; you may permanently delete such records at any time
- Any AI-generated suggestions related to pet care (feeding schedules, activity recommendations, vaccination reminders) are informational and do not constitute veterinary advice
10B. Community Activity Features
The Service includes a community module that lets you log volunteering, charitable giving, acts of kindness, and other civic engagement activities. These entries are personal records. By using these features:
- Entries default to private. They are not displayed on leaderboards, social feeds, or any other public surface
- You are responsible for the accuracy of any donation amount or volunteering hours you record. We do not verify these entries and they should not be presented to third parties (e.g., for tax substantiation) without independent documentation
- Recording an entry does not constitute a donation, registration with any nonprofit, or any other legal commitment. The community module is a journaling tool
- We do not facilitate donations, payments to charities, or transfers of money
10C. Opti Score and Engagement Metrics
IMPORTANT DISCLAIMER:
The Service computes an "Opti Score" — a numerical engagement metric derived from the breadth and depth of your use of the Service's modules. Related features include sparklines, streaks, milestones, badges, and shareable cards. By using these features you acknowledge and agree:
- Engagement metric only: The Opti Score is an in-product engagement indicator. It is NOT a credit score, health score, fitness score, financial rating, insurance risk score, or any other regulated rating.
- Not advice: A higher or lower Opti Score does not represent professional advice about your finances, health, parenting, or any other area. Improving the score should not be treated as a substitute for the recommendations of qualified professionals.
- No external use: We do not sell or share Opti Score data with advertisers, employers, insurers, lenders, or other third parties. The score is not used to make any decision that produces legal or similarly significant effects about you.
- Modifiable: Modules that do not apply to you (e.g., Childcare without registered children, Pets without registered pets) can be opted out and will not count toward your score.
- Subject to change: The Opti Score formula, scale (currently up to 800), badge unlock criteria, decay rules, and module weightings may be adjusted at our discretion as the Service evolves.
10D. Influencer / Affiliate Referral Program
The Service operates an influencer / affiliate referral program. Referral codes may be issued by us to selected partners ("Influencers"), who share the codes with prospective users.
For users applying a referral code:
- You may apply at most one referral code per account, recorded on a first-touch basis. Once recorded, the code cannot be changed or removed
- Applying a referral code does not change the price, features, or seats available on your subscription unless an active promotion explicitly says otherwise
- Use of a referral code is at your option — no code is required to use the Service
- Referral rewards for members: When someone you referred with your referral code makes their first paid payment for the One plan, you receive a free month as a referral reward: a credit worth one month of your own plan applied to your next bill (if you subscribe through our website), one month of One-plan access at no charge that ends automatically (if you do not subscribe), or a smaller Opti Points reward instead (if you subscribe through the App Store or Google Play, or have access through a household or organization). One reward per referred person, up to 12 rewards in any 12-month period. A reward is reversed if the referred person's payment is refunded or charged back within 14 days. Rewards have no cash value, are not transferable, and may be changed or withdrawn at any time, and we may withhold rewards obtained through fraud or abuse.
- Codes may expire, be paused, or reach a usage limit; in such cases the Service will display an error and the code will not be applied
For Influencers: Participation in the program is governed by a separate Influencer Agreement provided at onboarding. Commissions are calculated from paid conversions within a configured commission window, are subject to a clawback window for refunds and chargebacks, and are paid out only after the corresponding revenue has cleared. Influencers see only aggregate referral metrics; we do not disclose individual referred users to Influencers without those users' explicit consent.
We may modify, suspend, or terminate the referral program at any time, including modifying commission rates, windows, or eligibility criteria, subject to existing commission obligations already accrued.
10E. Financial Data and Budgeting
The Service includes a wealth module that lets you record financial accounts, transactions, budgets, and income sources — either by hand or, where available, by connecting a live bank, card, or brokerage account. The Service totals and organizes what you enter or import.
- Not financial advice: Budget totals, spending runway, surplus calculations, and any coaching or narrative language the Service generates about your finances are informational only and do NOT constitute investment, tax, or legal advice. Section 7 (Artificial Intelligence Services Disclaimer) applies equally to these budgeting features. Consult a qualified financial, tax, or legal professional before making decisions based on this information.
- Accuracy depends on you: For an account you enter by hand rather than connect to a live financial institution, the Service's totals and insights are only as accurate and current as what you record.
- Connected accounts: Where available (the United States and Canada only), you may connect a bank, card, or brokerage account through Plaid, a third-party aggregation service we use as a service provider. Connecting retrieves account and transaction data for the account you choose; your login credentials are entered directly with Plaid or your institution and are never seen or stored by OptiAI. The number of connections included with your plan, and any Opti Points cost for an additional connection, are shown in the app and may change. An additional connection is paid for using your Opti Points, whether you earned them or purchased them. If the Points backing an additional connection lapse, that connection is paused rather than deleted: it stops updating but its accounts and transaction history remain, and it resumes automatically once paid. You can disconnect any connected account at any time; disconnecting keeps its accounts and history as accounts you update yourself.
- Household visibility: Financial records you create can be visible to other adults in your household — automatically to a household member marked as a parent, and to anyone you grant access to under Settings → Data Sharing. No one else can see your financial records. The Money In, Money Limits, and Money Out sections of the wealth module can each be shared separately, so you choose what a given household member can see.
- Statement and receipt import: If you upload a bank statement or a photo of a receipt, the document is processed by our AI provider to extract transactions for your review. We do not retain the original file beyond that processing unless you choose to attach it to a record yourself. Nothing extracted is saved to your account until you review and confirm it.
- AI budget suggestions: Suggested budgets and spending limits generated by the Service are informational starting points, not financial advice, and each such request counts as one of your AI actions under Section 7.
- Accounts and Net Worth: An account you add or connect in the wealth module may be mirrored as an asset or liability elsewhere in the Service (for example, in your Net Worth summary and retirement plan) so your totals stay consistent across the app. Every active account counts once.
- Closing versus deleting an account: Closing an account in the wealth module keeps every transaction recorded against it — the account simply stops counting toward your balances and net worth, and you can reopen it at any time. Disconnecting a bank connection likewise keeps your accounts and their history; they become accounts you update yourself. Deleting an account is different and permanent: you choose whether its transactions are deleted with it, and if they are, figures derived from them — including spending limits and income totals for the affected periods — change accordingly and cannot be restored.
- Estimated loan balances: If you describe a loan by its terms (the amount borrowed, interest rate, term and start date) or by a balance on a given date, the Service estimates today's outstanding balance, payoff date and remaining interest on a standard amortisation schedule and updates the estimate as time passes. It is an estimate, labelled as one: your lender's actual balance can differ (for example because of fees, rate changes, missed or extra payments, or the lender's own rounding). Enter a balance from a statement at any time and the Service will count forward from it instead. A credit card balance is never estimated — it is shown as you last entered it, with how long ago that was. A balance synced from a connected account always uses the synced figure.
- Multiple currencies: If you record an account or transaction in a currency other than your household's default, the Service converts it for display using a published exchange rate while keeping a record of the original currency and amount you entered.
- Not sold: We do not sell your financial data, and do not use it for advertising.
- Kids' Money (a family record, not an account): Kids' Money lets a parent or guardian keep a record of a child's money in jars (for example Save, Spend and Give), set an allowance, give chores a money value, set a savings goal with an optional family match, and approve a child's requests to spend. It is a record only: OptiAI does not hold, receive, move, pay out, or safeguard any money, and is not a bank, payment service, or account provider. Any allowance or chore pay shown is a parental record of what the family has agreed, not a payment obligation of OptiAI. Jar balances have no monetary value within the Service and cannot be converted to or from Opti Points. The household owner and household members marked as a parent manage a child's record; other adults can see or manage it only if granted access under Settings → Data Sharing. Optional "family interest" and "family match" figures are amounts the parent chooses to record, not interest or matching paid by OptiAI. Money lessons are general education, not financial advice.
- Chore Stars and pocket money: A parent may set a rate at which a child's Chore Stars can be cashed in for money in that child's Kids' Money jars, with an optional minimum, weekly limit and approval step, and may give a routine a money value. Cashing in moves a family record from one place (Chore Stars) to another (the jars); it is not a purchase, a payment, or a transfer of value by OptiAI, and stars and jar amounts remain records with no monetary value within the Service. Chore Stars and jar amounts are never Opti Points and cannot be converted to or from Opti Points. Suggested allowances, star rates, chores, routines, rewards and goals are general starting points that a parent can change; they are not financial or parenting advice.
- Linking a child's bank account: A parent may assign one of their own bank accounts connected through the Service to a child so that OptiAI reads its transactions into that child's Kids' Money jars and shows spending insights. The parent confirms they are entitled to view that account and to share its activity with the child and with any adult the household owner shares Kids' Money with. OptiAI only reads the account and never initiates, holds or moves money; jar amounts remain family records. Automatic sorting is a best-effort suggestion that a parent can correct; it is not financial advice, and the bank's own records are authoritative. Children aged 13 to 17 are shown that a parent can see the account. A linked account counts toward the household's bank connections.
10F. Inbox, Feedback, and Access Requests
- Inbox: If you turn on the Inbox feature, you may forward emails and image or PDF attachments to your personal OptiAI address so the Service can create calendar and task items from them. You are responsible for forwarding only content you are entitled to share. Items from approved senders are added automatically and can be undone; items that look uncertain are held for your review. AI extraction can be wrong, so check dates and details before relying on them. We keep the extracted items, not the original email or attachments. See the Privacy Policy for details.
- Feedback and ratings: Feedback, bug reports, thumbs-down reports, and app ratings you submit may be used to improve the Service. Ratings are never rewarded and you are never required to give one. We contact you about feedback only if you choose the "You can contact me about this" option.
- Access requests: A household member may ask you to share data with them. You decide whether to decline or to grant View only, View & Edit, or Full access, and you can change or withdraw that access later in Settings → Data Sharing.
10G. Assistant Personalization and Memory
You may customize how Opti communicates (tone, humour, emoji, reply length) and choose what Opti remembers about you and your family, such as interests. You can view, edit, delete or pause these at any time, and you can permanently delete all saved memories with "Forget everything". Opti will not save sensitive reproductive, pregnancy, mood or mindfulness information as a memory.
For children and other members recorded as minors, Opti applies kid-safe defaults (a gentle style, no automatic memory of interests, and no wealth, health or medication advice). A parent or household owner manages a child's assistant style and memory settings. Personalization changes how Opti words its replies; it does not change the accuracy limits described in Section 7, and AI responses remain informational only.
10H. Service Providers and Contracts
You may record the service providers your household uses and the contracts, memberships or session packages you hold with them. OptiAI is not a party to any agreement between you and a provider, does not recommend, vet or guarantee any provider, and is not responsible for their services, prices or availability. Renewal dates, visits remaining and notice deadlines are calculated from the details you enter; always confirm them against your actual agreement before relying on them. You are responsible for having the right to store the contact details you add, including any you import from your contacts. If you enter a weekly class or session schedule, OptiAI adds those sessions to your family calendar and removes the future ones when the term ends or you delete the provider; you remain responsible for confirming times with the provider. Contract documents you upload are stored privately and can be opened only by you; you are responsible for having the right to store them, and you should not upload documents you are not entitled to keep. If you ask OptiAI to read a document, its contents are processed by an AI service to suggest values for you to check before saving. Insurance renewal reviews and emails are drafts prepared for you from the details you have entered and anything you tell us; OptiAI never sends an email on your behalf, does not give insurance advice, and you should check every statement before you send it.
10I. Opti Concierge
Opti Concierge, where available, helps you plan errands such as a restaurant table, a hotel night, a home technician, flowers or a haircut. It suggests a time from your family calendar, places a tentative hold on that calendar, and shows options with a link, phone number or directions so you can book with the provider yourself.
- Opti does not book or pay: in this version Opti does not make a booking, place an order or take a payment on your behalf. A plan is not a booking until you book it with the provider. When you tell Opti you have booked, it marks the plan as booked and keeps the event on your calendar.
- Providers are independent: the businesses suggested are independent third parties. Their prices, availability, opening hours, cancellation terms and service are theirs, and you should confirm them with the provider. Suggestions, ratings and details may come from third-party sources such as Google and may be out of date. We do not receive commission for suggestions in this version; if that ever changes we will tell you on the suggestion.
- Your provider first: where you have saved a provider or contract, Opti shows it first and never swaps it silently for another business.
- Booking requests by email: where available, Opti can email a business on your behalf to ask for a booking. It writes from your household's Opti address and copies you on every email, and it sends nothing until you have seen and confirmed that exact email. A request is not a booking until the business confirms it; when their reply confirms a time, Opti adds it to your calendar. Opti may send up to two short follow-ups if there is no reply, and cancelling sends a cancellation in the same thread. You are responsible for the content of any note you add. If a business asks not to be emailed, Opti stops emailing it.
- Health appointments: Concierge does not plan or book doctor, dentist, pharmacy or other health appointments. Where the law allows it (currently the United States and India), you can ask Opti to email a health appointment request; it shares only your name, the times you offer and a callback number unless you add more yourself, each email needs your own confirmation, and only you can see the request. This is not medical advice and not an emergency service.
- Children: members recorded as children cannot create Concierge plans or send booking requests; they can suggest an idea to an adult.
- Check-ins and tastes: if you turn on taste learning, Opti may ask how a visit went (no more than once a day) and remembers favourites and places you never want suggested. You can turn this off at any time.
10J. Home Map (Where Things Live)
Home Map lets you record which room, storage spot, and drawer or shelf your household's items live in. Where an item is kept is visible to the members of your household who can see your Inventory, together with who last moved it and when. You can mark an item as private, which makes it visible only to the person who added it; only that person can change this. You can also mark a storage spot (for example a safe) as sensitive, in which case Opti will not say what is inside it over WhatsApp, Telegram, or other chat channels, although you can still see it in the app. Household members recorded as children can look things up but cannot move items or change places. Home Map is a convenience for remembering where you put things and is not a security or inventory-control system; do not rely on it to secure valuables or documents. Deleting a room, storage spot, or drawer does not delete the items in it.
10K. Protection and Weekly Money Check-Ins
Protection and the optional weekly money check-in give you general information about your own records. They are not financial, legal, tax or insurance advice, and OptiAI does not sell, recommend, rank or compare insurance, investment or any other financial product, and does not receive commissions for any. The coverage checklist compares what you have recorded with commonly used rules of thumb; it names the rule and the facts it used, shows ranges rather than amounts you need, and may be wrong or incomplete because it depends on what you have entered. Choosing "worth a look" or "not applicable" does not change any policy. The emergency-fund target is a number you choose, measured only against the accounts you select.
- Documents: the important-documents list stores only a status, a review date and a short note about where a document is kept. It does not store the document, and you should not enter account numbers or passwords in the note.
- Weekly check-in: it is off until you turn it on, sends at most one coaching message a week, can be paused or stopped at any time, and is written from fixed templates using your own figures rather than by an AI. A missed week simply passes. Any suggested step happens only if you choose it.
- Asking Opti: if you ask Opti a question about these features, it answers from your own records, ends with a reminder that it is general information, and declines to recommend products. A licensed adviser can tell you what fits your situation.
11. User Content and Submissions
You retain ownership of content you submit ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process such content solely for the purpose of operating, maintaining, and improving the Service. This license continues for as long as your content is stored on the Service and terminates upon deletion of such content, except where retention is required by law or as described in Section 18 (Data Retention and Deletion). We will not sell, publish, or distribute your personal content to third parties except as necessary to provide the Service (e.g., cloud infrastructure providers) or as required by law.
You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.
Feedback: Any feedback, suggestions, ideas, or other submissions you provide to us regarding the Service become our sole property. We may use, modify, and implement such feedback without any obligation to you.
11A. User Content on Social Media
If you publicly post content featuring OptiAI (for example, a screenshot of your dashboard) on a social media platform and tag or mention OptiAI (such as @realoptiai or #optiai), you grant OptiAI a worldwide, non-exclusive, royalty-free, revocable license to re-share, display, and feature that content in OptiAI's marketing and promotional materials, with attribution to your public handle or profile. This license applies only to content you have made publicly available and in which you have tagged or mentioned us. We will honor requests to stop using such content on a going-forward basis; contact us using the details in these Terms.
You represent that you have the right to grant this license and that the content does not include another person's private information without their consent. Because OptiAI dashboards can display personal health, financial, and family information, we recommend you remove or redact any sensitive personal information before posting publicly.
12. Prohibited Activities
You agree NOT to engage in any of the following:
- Violating any applicable laws, regulations, or third-party rights
- Using the Service for any fraudulent, abusive, or illegal purpose
- Manipulating or gaming the OptiPoints system
- Creating multiple accounts to abuse rewards or circumvent restrictions

- Transmitting viruses, malware, or harmful code
- Attempting to gain unauthorized access to any systems or data
- Interfering with the proper functioning of the Service
- Collecting or harvesting personal information of other users

13. Indemnification
You agree to defend, indemnify, and hold harmless Aspire Digital LLC, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your User Content
- Any claim that your use of the Service caused damage to a third party
- Your negligent or wrongful conduct
This indemnification obligation will survive the termination of these Terms and your use of the Service.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
- WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION OBTAINED FROM US SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES
- OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100)
- WE ARE NOT LIABLE FOR ANY HEALTH ISSUES, INJURIES, FINANCIAL LOSSES, OR OTHER DAMAGES RESULTING FROM YOUR USE OF AI RECOMMENDATIONS, FITNESS FEATURES, OR FINANCIAL TRACKING TOOLS
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
16. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Agreement to Arbitrate: You and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved exclusively through binding individual arbitration, rather than in court, except as provided below.
Arbitration Rules: Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in English and held in Texas, USA, or at another mutually agreed location.
CLASS ACTION WAIVER: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.
Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to legal@optiai.me within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of arbitration.
17. Termination
Termination by You: You may terminate your account at any time through the account settings or by contacting support.
Termination by Aspire Digital LLC: We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Conduct harmful to other users or us
- Extended periods of inactivity
- Upon request by law enforcement or government agencies
Effect of Termination: Upon termination, your right to use the Service ceases immediately. All accumulated OptiPoints will be forfeited. Provisions that by their nature should survive termination shall survive, including indemnification, limitation of liability, and dispute resolution. For details on how your data is handled upon termination, see Section 18 (Data Retention and Deletion).
18. Data Retention and Deletion
We are committed to responsible data management. This section describes how your data is handled during and after your use of the Service.
Financial records created in the wealth module — including manually entered accounts, transactions, budgets, and income sources — are covered by this same account-deletion and backup-purge window; there is no special-cased retention for financial data.
Account Deletion
You may delete your account at any time through your account settings or by contacting support@optiai.me. Upon account deletion:
- Your personal data, including profile information, health records, financial data, and other content, will be permanently deleted within 30 days
- Data that has been shared with household members may remain accessible to those members, but your identity will be disassociated from it
- Children's data entered solely by you will be deleted along with your account
- Anonymized or aggregated data that cannot identify you may be retained for analytics and service improvement
- Active subscriptions will be canceled and no refunds will be issued for the remaining billing period
Data Export
You may request a copy of your personal data by contacting support@optiai.me. We will provide your data in a commonly used, machine-readable format within 30 days of your request, in accordance with applicable data protection laws.
Inactive Accounts
Accounts that remain inactive for 24 consecutive months may be subject to termination. We will attempt to notify you via email at least 30 days before any action is taken on an inactive account. Upon termination of an inactive account, your data will be handled as described in the Account Deletion section above.
Legal Retention
Notwithstanding the above, we may retain certain data as required by applicable law, regulation, or legal process (e.g., tax records, fraud prevention, or dispute resolution). Such data will be retained only for as long as legally required and will be securely deleted thereafter.
Backup Systems
Deleted data may persist in encrypted backup systems for up to 90 days before being permanently purged. During this period, backup data is not actively used or accessible and will not be restored except in the event of a system-wide disaster recovery.
19. Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Aspire Digital LLC, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Trademarks. OptiAI® is a registered trademark of Aspire Digital LLC (U.S. Reg. No. 8433025). The OptiAI logo and other marks are trademarks of Aspire Digital LLC. You may not use them without prior written permission.
Nothing in these Terms grants you any right, title, or interest in or to the Service or any intellectual property therein.
20. Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content, without notice or liability. We may also impose limits on certain features or restrict access to parts or all of the Service without notice.
21. Mobile Application Terms
The following terms apply when you access the Service through a mobile application downloaded from the Apple App Store or Google Play Store (each, an "App Store"):
General
- These Terms are between you and Aspire Digital LLC only, and not with the App Store provider
- The App Store provider has no obligation to provide maintenance, support, or warranty services for the application
- App updates may be required for continued use of the Service. You are responsible for installing updates in a timely manner
- Mobile data charges from your wireless carrier may apply when using the application. You are solely responsible for any such charges
- Features and functionality may vary between platforms (iOS, Android, and Web)
Apple App Store
If you downloaded the application from the Apple App Store, you additionally acknowledge and agree that:
- Apple Inc. ("Apple") is not a party to these Terms and has no responsibility for the application or its content
- Any claims relating to the application, including product liability claims, consumer protection claims, or intellectual property infringement claims, are the sole responsibility of Aspire Digital LLC, not Apple
- In the event of any failure of the application to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application
- Apple is a third-party beneficiary of these Terms and may enforce them against you
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties
- In-App Purchases: Subscriptions purchased through the iOS app are processed by Apple via In-App Purchase. Apple is the merchant of record, handles billing, manages renewals, and processes refunds in accordance with the Apple Media Services Terms and Conditions. We receive a transaction identifier and product identifier from Apple to grant entitlements, but we do not receive your Apple ID, payment method, or billing address.
- Subscription management on iOS: You manage your iOS subscription (including cancellation) through Apple's Subscription Management screen (Settings → [your name] → Subscriptions). We cannot cancel an Apple subscription on your behalf.
Google Play Store
If you downloaded the application from the Google Play Store, you additionally acknowledge and agree that:
- Google LLC ("Google") is not a party to these Terms and has no responsibility for the application or its content
- Your use of the application is also subject to the Google Play Store Terms of Service
- Google is not responsible for addressing any claims you may have relating to the application
22. Third-Party Services and Integrations
We rely on third-party service providers to operate and deliver the Service. By using the Service, you acknowledge that your data may be processed by the following categories of providers:
- Web Payment Processing: Stripe, Inc. handles payment transactions on the web. Your use of these features is subject to Stripe's Terms of Service and Privacy Policy.
- iOS Payment Processing: Apple Inc. handles In-App Purchase transactions on iOS via StoreKit. Apple is the merchant of record for iOS subscriptions; billing, renewal, and refunds are governed by the Apple Media Services Terms and Conditions.
- Data Storage and Authentication: Supabase provides database hosting, user authentication, and file storage services.
- Social Sign-In: Apple (Sign in with Apple) and Google (Google Sign-In) provide optional social authentication. When you use these, the provider authenticates you and shares basic profile information with us, as described in the Privacy Policy.
- Artificial Intelligence: Google (Gemini) provides AI-powered features including recommendations, advisory suggestions, image and document understanding, and content generation. To answer questions that require current information, the AI may also run a live web search through Google's search service and cite its sources.
- Error Monitoring: Sentry is used for error tracking and performance monitoring to improve service reliability.
- Email Delivery: Resend handles transactional email delivery including account notifications and alerts.
- Web Hosting: Vercel provides frontend hosting and content delivery.
- App Distribution & Push: Apple and Google provide app distribution and push notification services through their respective app stores. Apple additionally sends App Store Server Notifications to us for subscription lifecycle events.
- Mapping & Geocoding: Google Maps provides location-based features, address autocomplete, and place geocoding.
- Weather: Open-Meteo provides destination weather forecasts for travel trips.
- Grocery Delivery: Instacart's Developer Platform generates a cart link when you choose to order groceries through the Service.
- Web Analytics (web only): Google Analytics 4 and Meta Pixel — see the Privacy Policy for details.
Your use of the Service may be subject to the terms and privacy policies of these third-party providers. We are not responsible for the practices, availability, or security of third-party services. We encourage you to review the terms and privacy policies of any third-party services that interact with the Service.
We may change third-party service providers at any time without notice, provided the functionality of the Service is maintained. Any links to third-party websites or services within the application are provided for convenience only and do not constitute an endorsement by us.
22a. Chat-App Channels
Where available, you may connect a messaging app (currently Telegram and WhatsApp; Facebook Messenger and Instagram are coming soon and are open only to approved testers for now) so you can send Opti messages, photos and forwarded notes to add items to your OptiAI account.
- Third-party terms apply: your use of a messaging app is governed by that app's own terms and privacy policy, and by the age requirements it sets. We are not responsible for the availability, security or delivery of messages through a third-party app, and we do not guarantee that every message will be received or processed.
- Processing: we process the content you send to create items for you, as described in the Privacy Policy. Items are added to the account and household you connected; you are responsible for what you send and for the people whose information you forward.
- WhatsApp: WhatsApp is provided by Meta and is subject to its own terms. Message content is processed to add items for you and is not stored by OptiAI. Send STOP at any time to opt out. Messages that Opti starts (for example a briefing) are sent only if you opt in, and because WhatsApp can charge for business-initiated messages, each may cost a small number of Opti Points.
- Messenger and Instagram: Facebook Messenger and Instagram direct messages are provided by Meta and are subject to its own terms. Message content is processed to add items for you and is not stored by OptiAI. Opti only replies to messages you send; it cannot start a conversation or reply more than 24 hours after your last message. Send STOP at any time to opt out.
- Adults only: only adult account holders may connect a chat app. Members recorded as children cannot.
- Family group chats: where available, a connected adult may add Opti to a group chat (for example a family Telegram group, or a WhatsApp group created from Settings). The group is then linked to that adult's household. Everyone in the group can read Opti's replies there, so do not ask Opti about anything you would not share with the whole group. Only connected adult members of that household can use Opti in the group, and each request is handled as the person who sent it, with that person's own access. Questions about health, money, documents or private items are answered in the asker's private chat instead of the group, but Opti may not recognise every private request; you remain responsible for what you send to a group. Any adult member of the household can stop Opti answering in a group from Settings, or by sending /unlink in the group.
- Your control: send STOP in the chat, or disconnect in Settings, at any time. We will not message you first unless you have opted in, and you can opt out at any time. Items already added are kept unless you delete them.
- Costs: we do not charge you for messages. Your mobile data or carrier charges, and any fees from the messaging app, remain your own. Chat messages that use AI count toward your AI allowance like any other request.
- Accuracy: Opti may misread a message. Check what it added; every addition can be undone.
22b. Document Vault
Where available, the Document Vault lets you store copies of documents such as identity papers, policies, warranties, receipts and school papers.
- Your responsibility: you are responsible for what you upload and for having the right to store it, including documents that belong to other people. Do not upload content that is unlawful or that you are not entitled to keep.
- No verification or advice: we do not check, validate or certify any document, and nothing in the vault is legal, financial, tax or medical advice. Medical records belong in the Health sections, not the vault.
- Not a legal record: a stored copy is a convenience. We do not guarantee that a copy will be accepted as an official or legal record. Keep originals wherever the law or an institution requires them.
- Availability: we aim to keep the vault available but do not guarantee uninterrupted access or that a file will never be lost. Keep your own backup of anything you cannot replace. Reminders are a courtesy and may be delayed or missed, so you remain responsible for renewal dates.
- Sharing: you may share a document only with adult members of your household. You are responsible for who you share with.
- Deletion: you can delete a document at any time, and your documents are deleted when you delete your account, as described in the Privacy Policy.
23. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information systems, or cyberattacks.
24. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Austin, Texas, or the federal courts of the Western District of Texas for the resolution of any disputes.
25. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
26. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and us regarding the use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter hereof.
27. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified through the Service or via email. Your continued use of the Service after such notification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.
